On December 6, 2006, RGI International Limited ("RGI" or "the Company") went out with an IPO offering approximately 32MM ordinary shares, 32% of RGI's share capital at that time, at the price of $6 per share thereby raising approximately $192MM.

On March 15, 2007, RGI offered further 25MM ordinary shares to the public at the price of $10.44 per share raising approximately additional $251MM.
Currently, RGI's entire issued ordinary share capital is 125,786,978 shares.

In addition, Awards, amounting to 2.515MM shares were granted to RGI's employees. This Awards are conditional upon attaining certain performance criteria. Such Awards that were granted under RGI's approved Long Term Incentive Plan have raised share capital on fully diluted basis to total 128,301,978 shares.

The total percentage of the shares that are held by directors and shareholders with 10% of shareholding or more amounts to 51.73%.
No shares are held in treasury.

The Company has not applied for the ordinary shares to be traded on any other exchange or trading platform.



As the Company is not incorporated in UK, the rights of shareholders may be different from the rights of shareholders in a UK incorporated company.
